1. Agreement to Terms
By engaging We Shine Online (“Studio,” “we,” “us,” or “our”) for services, you (“Client,” “you,” or “your”) agree to be bound by these Terms and Conditions. These terms apply to all website design, development, and related services offered, including but not limited to the “VIP 48-Hour Intensive” and standard website projects.

2. Services & Scope

  • VIP 48-Hour Intensive: A condensed service where two senior experts dedicate two consecutive business days to design, develop, and launch a pre-scoped website project (typically a 6-page custom build). The project scope, deliverables, and timelines are defined in a separate Project Proposal.
  • Standard Website Projects: Traditional website design and development services conducted over a longer timeline, as defined in a separate Project Proposal.
All work is based on the specific details, scope, and deliverables outlined in the accepted Project Proposal. Any requests beyond the agreed scope may incur additional fees and require a formal change order.

3. Client Responsibilities
To ensure project success, you agree to:

  • Provide all required content (text, images, logos, branding materials) in the agreed format and by the deadlines specified in the project timeline.
  • Appoint a single point of contact for feedback and decisions to maintain project momentum.
  • Provide timely feedback and approvals at designated review stages. Delays in feedback may impact the project timeline and final delivery date.
  • For VIP Intensives, ensure key decision-makers are available for scheduled check-ins during the two-day work period.

4. Fees, Deposits & Payment

  • A non-refundable deposit of 50% of the total project fee is required to secure your project dates and commence work.
  • The remaining 50% balance is due upon project completion, prior to the final website handover and launch, or 3 days before the first morning of a VIP Intensive, as specified in your invoice.
  • All fees are quoted and charged in Canadian Dollars (CAD).
  • Payments are due within 7 days of invoice receipt. Late payments may result in project pausing and are subject to a late fee of 2% per month.

5. Revisions & Approval Process
Our process includes defined stages for review and revision. The Project Proposal will specify the number of revision rounds included for design and development. Additional revisions or significant changes to the approved scope will be billed at our standard hourly rate.

6. Intellectual Property

  • Client Materials: You warrant that all materials provided to us are owned by you or that you have secured the necessary rights and licenses for their use in the project.
  • Final Deliverables: Upon receipt of full and final payment, you own the final website files and visual designs created specifically for you as outlined in the Project Proposal.
  • Studio Tools & Frameworks: We retain ownership of our proprietary code frameworks, methodologies, and any pre-existing tools or “boilerplate” code used in your project.

7. Warranties & Support

  • We stand behind our work and warrant that the website will function materially as specified in the Project Proposal at the time of launch.
  • All projects include 30 days of post-launch support from the launch date. This support covers the correction of any bugs or errors related to our original work and reasonable assistance with minor content updates. It does not cover new features, pages, design changes, or training.
  • We are not liable for issues arising from third-party plugins, services, or platforms, or from client modifications made after handover.

8. Limitation of Liability
Our total liability to you for any claim arising out of or relating to our services shall be limited to the total amount paid by you for the specific project in question. We shall not be liable for any indirect, incidental, or consequential damages.

9. Termination
Either party may terminate the agreement with written notice if the other party materially breaches these terms. Upon termination by the Client, the deposit is forfeited, and the Client will be invoiced for any work completed beyond the deposit value at our standard hourly rate. Upon termination by the Studio for non-payment or material breach, the deposit is forfeited.

10. Governing Law
These Terms and Conditions shall be governed by and construed in accordance with the laws of the Province of Ontario and the federal laws of Canada applicable therein.
